Welcome to Leap Edge Digital. By using our website or engaging our services, you are entering into a legally binding agreement and agree to the terms set out below. These Terms of Service govern the relationship between you (referred to as ‘the Client’) and Leap Edge Digital (‘we’, ‘us’, or ‘our’). If you do not agree with these terms, you must not use our services.
1. About Us
Leap Edge Digital is a UK-based digital marketing agency offering services including SEO, content strategy, advertising, training, and consultancy. We work with clients globally and operate primarily on a remote basis.
2. Definitions
- Client: Any individual, company or organisation that uses our services.
- Services: Any digital marketing, training, or consultancy provided by us.
- Agreement: This Terms of Service document, together with any written proposal, scope of work, or signed contract.
3. Scope of Work
All services will be outlined in a written proposal or contract. Work will commence only after the proposal is accepted in writing or via email confirmation. Any changes to the scope must be agreed upon in writing and may incur additional charges, ensuring transparency and mutual agreement.
4. Client Obligations
The Client agrees to:
- Provide timely access to information, logins, and materials
- Approve or provide feedback on deliverables promptly
- Cooperate with any reasonable requests to help us deliver the agreed services
- Ensure all provided materials do not infringe on third-party rights
Failure to meet these obligations may result in delayed delivery or performance issues, underlining the importance of these responsibilities.
5. Payment Terms
- All invoices are payable within 14 days unless otherwise agreed
- Monthly retainers are billed in advance
- Late payments may incur a 5% monthly interest
- We reserve the right to pause or terminate work if payments are overdue
Payment methods and schedule will be outlined in your proposal or invoice.
6. Cancellation & Termination
- Ongoing contracts may be cancelled with 30 days’ written notice
- We reserve the right to charge for all completed work and expenses incurred up to the cancellation date
- Either party may terminate the agreement immediately if the other party commits a material breach
In the event of termination, any outstanding fees remain payable.
7. Intellectual Property
- All materials created by us become the Client’s property once full payment is received
- We retain the right to use anonymised, non-confidential examples of work for portfolio or promotional purposes
- The Client remains responsible for securing usage rights for any third-party content they provide
8. Confidentiality
We agree to treat all confidential information received from the Client with the utmost care and not to disclose it to third parties, except where required by law or with your prior written consent. Your privacy and security are our top priorities.
9. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special or consequential losses
- Our total liability under this agreement shall not exceed the total fees paid by the Client in the preceding 3 months
- We do not guarantee specific outcomes such as keyword rankings, traffic levels, or sales performance
All services are provided on a best-effort basis.
10. Indemnity
The Client agrees to indemnify and hold Leap Edge Digital harmless against any claim, liability, damage, cost, or expense arising from:
- Any content or materials supplied by the Client
- Breach of these Terms by the Client
- Misuse of third-party platforms or tools by the Client
11. Use of Third-Party Platforms
We may use external tools (e.g. Google Ads, GA4, WordPress, etc.) in the course of delivering services. We are not responsible for:
- Outages, data loss or performance issues on third-party platforms
- Any price changes, terms, or limitations introduced by those third parties
- Client misuse of those platforms outside our advice
12. Training & Apprenticeship Programmes
By enrolling in our training or apprenticeship offerings, participants agree to:
- Do not reproduce, distribute, or resell any training materials
- Attend sessions professionally and complete assigned work
- Comply with any additional terms issued per programme
We reserve the right to suspend access or participation for any breach.
13. Force Majeure
We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including but not limited to war, acts of God, cyberattacks, labour disputes, pandemics, or power failures.
14. Governing Law
The laws of Scotland govern these Terms. Any disputes arising will be subject to the exclusive jurisdiction of the Scottish courts.
15. Dispute Resolution
If a dispute arises, both parties agree to attempt to resolve it informally within 14 days. If that fails, disputes may be resolved through mediation before pursuing legal action.
16. Changes to Terms
We may update these terms from time to time. The most current version will always be available at:

Your continued use of our services after changes are published indicates acceptance of the revised terms.
